FRUITFUL YIELD LOYALTY REWARDS PROGRAM OFFICIAL RULES

BY PARTICIPATING IN THE FRUITFUL YIELD LOYALTY REWARDS PROGRAM ("Program"), YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THE OFFICIAL RULES OF THE PROGRAM ("Official Rules").

The Program: No purchase is necessary to become a Loyalty Rewards Member ("Member") of our Program. The Program is sponsored by The Fruitful Yield, Inc. ("Fruitful Yield"). Members will earn Loyalty Points ("Points) in connection with the purchase of qualifying products at Fruitful Yield retail stores only. Online purchases do not qualify.

Eligibility: The Program is open to legal residents of the 50 United States (or the District of Columbia) who are 18 years or older at the time of enrollment.

How to Enroll:

A.) In-Store. Ask an associate at any Fruitful Yield retail store for a Program enrollment form. After filling out the form, the store associate will give you a Loyalty Rewards card. The following information is required to complete your enrollment into the Program: first name, last name, phone number, email address, and zip code. If a card is lost or stolen, please inform an associate at any Fruitful Yield retail store. A new card will be supplied for lost or stolen cards. The Fruitful Yield is not responsible for Loyalty Points or Loyalty Rewards associated with lost or stolen cards. You may cancel your membership at any time by emailing us at contact@fruitfulyield.com or by calling us at 630-705-0313 x6.

B.) Loyalty App. You can also enroll in the Program with the free Fruitful Yield Loyalty App. Your Program card will be on the app, so you will not be issued a Program card in-store.

Loyalty Points:

Earning Loyalty Points. Members will earn Loyalty Points ("Points") on all products purchased at Fruitful Yield retail stores. Members cannot earn points from online purchases. Members will earn one Point for every one dollar ($1) spent (excluding tax) when they purchase products and present their Loyalty Card or other valid identification, such as a phone number, from their account information, which can be determined by the store associate. From time to time, Fruitful Yield may offer other promotions for certain specially marked products ("Promotional Products") in which the Point calculations may vary. Fruitful Yield reserves the right to change the qualifying products Promotional Products, and their corresponding Points values at its sole discretion.

Tracking Loyalty Points. Every time Members earn Points on a purchase, their receipt will show the amount of Points earned in that transaction and the total balance of Points on the Member's account. On receipts, the Points will be reflected as a dollar amount, but on the Loyalty App they will show up as just a number. For example, if a Member has 350 points the receipt will show as $3.50. On the Loyalty App, 350 Points will show as 350 Points. Points may take up to 60 minutes to show on Member's account.

Redeeming Loyalty Points. When a Member has earned 500 Points, they have reached a redeemable Loyalty Reward ("Reward"). 500 Points = (1) $5.00 Reward. When redeeming a $5 Reward, the transaction must be a subtotal of $5.00 or the Member agrees to forfeit any remaining amount if the subtotal is less than $5.00. A single $5 Reward cannot be split up into multiple transactions. However, if a Member has accumulated more than one $5 Rewards on their account, they may redeem just one or all of them in one transaction. Unused $5 Rewards will expire 60 days from the date that each $5 Reward was earned. Unused Points that have not reached the threshold of a $5 Reward (500 Points) will never expire until the Member meets the $5 Reward threshold. Neither $5 Rewards nor Points have any cash value and cannot be redeemed for cash. Points and $5 Rewards are non-transferrable and non-divisible and may not be combined with other members' accounts. Upon redemption of your $5 Reward or after 60 days if the $5 Reward is not used, your Points balance will automatically deduct the $5 Reward from your account.

Juice Bar Rewards: Members can earn free juices, smoothies, and soups from The Yield Juice Bar & Café ("Juice Bar") with their Loyalty Card. Members are automatically enrolled in Juice Bar Rewards and will have three Juice Bar punch cards automatically loaded on to their account. Physical cards are not issued for Juice Bar Rewards.

Earning Juice Bar Rewards. Each Member's account is automatically loaded with one soup punch card, one juice punch card, and one smoothie punch card. Each purchase of a soup, juice, or smoothie will count as one punch on the respective punch card. For example, if a Member purchases one soup and one juice in a single transaction, the soup punch card will get one punch and the juice punch card will get one punch. Additionally, if a Member purchases two soups and one smoothie, the soup punch card will get two punches and the smoothie punch card will get one punch. For punches to be applied to the account, Members must present their Loyalty Card or other valid identification, such as a phone number, from their account information, which can be determined by the store associate.

Tracking Juice Bar Punches. After each Juice Bar purchase, the Member's receipt will show the amount of punches earned in that transaction and the total number of punches left to earn before a free item. Members who have the Fruitful Yield Loyalty App will be able to track their punches for each punch card on the Home page of the app.

Redeeming Juice Bar Rewards. After earning nine punches on a given punch card, Members will get a Juice Bar Reward to use on their tenth purchase. Juice Bar Rewards is a free item specific to the punch card that has nine punches. For example, if a Member has nine punches on the soup punch card, the Juice Bar Reward will be a free soup on the next visit. Punches cannot be transferred or combined between punch cards. Juice Bar Rewards can only be redeemed towards the item in relation to the qualifying punch card. Juice Bar Rewards will expire 60 days after the date they were earned. Punches do not expire until they reach the threshold of a Juice Bar Reward (nine punches).

Modification and Termination of Program: Fruitful Yield reserves the right to modify any of the terms and conditions of these Official Rules, in whole or in part, at any time with notice even though this may affect your right to use your Points and/or Rewards. Fruitful Yield reserves the right change the Qualifying Products, Promotional Products and their corresponding Loyalty Point values at its sole discretion. Members continued participation in the Program constitutes Member's acceptance of any changes to these Official Rules and Members are responsible for remaining knowledgeable of any changes that Fruitful Yield makes to these Official Rules. The bottom of these Official Rules will indicate the date they were lasted updated. Failure to follow the Program's Official Rules or any misrepresentation of information furnished to Fruitful Yield may result in the cancellation of your membership in Fruitful Yield's sole discretion.

Limitation of Liability: THE FRUITFUL YIELD, INC. IS NOT RESPONSIBLE OR LIABLE FOR INCORRECT OR INACCURATE TRANSCRIPTION OF INFORMATION, PROBLEMS RELATED TO THE EQUIPMENT OR PROGRAMMING ASSOCIATED WITH THE PROGRAM OR UTILIZED BY THE MEMBER, FOR ANY HUMAN ERROR, FOR ANY INTERRUPTION, DELETION, OMISSION, DEFECT OR LINE FAILURE FOR ANY TELEPHONE, CELLULAR NETWORK OR ELECTRONIC TRANSMISSION OR FOR ANY OTHER TECHNICAL OR NON-TECHNICAL ERROR OR MALFUNCTION.

FRUITFUL YIELD SHALL NOT BE LIABILE OR RESPONSIBLE FOR ANY CLAIMS, ACTIONS OR DAMAGE OF ANY KIND RESULTING FROM THE FRUITFUL YIELD PURCHASE POWER PROGRAM. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE STATE AND LOCAL LAW, FRUITFUL YIELD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, NONINFRINGEMENT AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO ITS FRUITFUL YIELD PURCHASE POWER PROGRAM AND FRUITFUL YIELD WILL NOT BE LIABLE FOR ANY DAMAGES OF ANY KIND ARISING FROM MEMBER'S PARTICIPATION IN ITS PURCHASE POWER PROGRAM INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, AND CONSEQUENTIAL DAMAGES.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS OR LIMITATIONS MAY NOT APPLY TO YOU.

Governing Law: These Official Rules shall be governed by and construed in accordance with the laws of the State of Illinois. All claims, disputes, and lawsuits arising out of or in connection with these Official Rules shall be resolved or adjudicated in DuPage County, Illinois.

General Terms: If any provision of these Official Rules shall be unlawful, void or for any reason unenforceable, then that provision shall be deemed severed from these Official Rules and shall not affect the validity and enforceability of any remaining provisions.
